Removal of Directors : As per the provisions of the Companies Law, a director can be removed from his office before the expiry of his term by the follow ways
(1) By Shareholders : A company can remove any director before expiry of his term by passing the general resolution in shareholder’s general meeting. Shareholders can not remove the director appointed by Government or Tribunal. In the case of special notice, it is the duty of a company to give a copy of that special notice to the concerned director. Such a director should be given reasonable opportunity to be heared and to be represented before the removal.
(2) By the Board of Directors: As per the above procedure, Board of Director can also remove a director. The director who is removed in the above manner can not be reappointed.
