Memorandum of Association is a public document of the company. It has clauses related to capital, object, name, registered office, liability etc. based on this company’s area of work and liability is decided. Well-being of various parties connected to company is attached to Memorandum so directors cannot make changes in it as per their wish and will. For making changes in Memorandum, directors have to follow the long procedure mentioned in Companies act. For this they need permission from Central government, Company law board and general meeting. So, as the company is formed on the basis of Memorandum, it is difficult to make changes in it and it is considered as basic and important document of the company.
