Write a short note on Certificate of Incorporation.

The various procedures before getting registered is once completed then the procedure of getting certificate of Incorporation get started. After the payment of prescribed registration fees and if registrar finds the documents to be satisfactory, he registers them and enters the name of the company in the Register of Companies.
The following documents are to be registered with the registrar:
(1) Memorandum of Association
(2) Articles of Association
(3) List of Director
(4) Written consent and affidavit of the Directors
(5) Declaration regarding the formation of company is not at the cost of any other company
(6) Declaration regarding fulfilment of the provisions of Company act.
After the above documents are finds satisfactory the registrar registers them and enters the name of the company in the Register of Companies. Then issues a Certificate of Incorporation. The life of company commences from the date mentioned in the Certificate of Incorporation.
The Registrar of companies issue certification of Incorporation along with Corporate Identity Number (CIN). This identification member is of company which is incorporated in certification of Incorporation. The company has to preserve the identity original document and information till liquidation at company’s registered office.
