Registered Office Clause : In the Memorandum of Association itself every company has to mention the address of registered office along with the state in which it is situated. A company must from the fifteenth day of its incorporation must have a registered office which is capable of receiving and acknowledging all communication and notices as may be addressed to it.
Due to following reasons registered office address is important.
(1) The registered address establishes the nationality of the company on the basis of which domicile state can be known and applied.
(2) The address of registered office decide the territorial jurisdiction applicable to the company.
(3) Company is an artificial person created by law with the help of registered address members, creditors, government etc. can come to know at which address can the correspondence be undertaken with the company.
(4) Any person can undertake correspondence at the registered office can send notice and company can acknowledge it.
(5) The members of the company or other parties who want to examine the documents personally or obtain additional information about the company may approach its registered office.
